1. Terms & Conditions

1.1General Provisions

The following conditions are binding for all quotations, orders, contracts, and deliveries unless other written agreement has been made with “BUY IN NEPAL”.

1.2. Sales Quotations, Prices, Orders

1.2.1           Quotations:

·         All quotations made by “BUY IN NEPAL” shall be valid for 30 days upon Customer’s receipt of the quotation, unless otherwise stated.

·         Quotations require the Customer’s written acceptance.

1.2.2Prices:

·         Prices follow the current “BUY IN NEPAL” price lists and exclude VAT, duties, freight, insurance, packaging charges, and other costs, which will be added at the exit point as applicable.

·         Prices are subject to be revised as applicable by the law of Nepal or depending on the packaging, shipment cost, standard or fast delivery services. 

1.2.3 Orders:

• Orders must be placed via the online platform or by email to sells@bynepal.com upon a separate contract made.
• Upon receipt of the inquiry to sells@bynepal.com, Confirmation will be subjected after evaluation of the nature of the product, size, availability, insurance, shipment cost and final price.
• Furthermore, “BUY IN NEPAL” reserves the right to adjust the expected delivery time and to adjust the quoted price if an increase in rates, taxes, customs, or other duties occurs at any point in time with a written notice to the customer.
• After an evaluation of the inquiry, an order acceptance email is sent to the Customer via e-mail. Which will be subject to the final approval and purchase order by the Customer to sells@bynepal.com.
• When an order is placed by the Customer, the customer will receive an e-mail confirming receipt of purchase order. This will be subject to the next step of order processing and delivery.
• Orders can be cancelled within 24 hours unless shipped. Cancellation or amendments thereafter require written agreement.
• BUY IN NEPAL” reserves the right to reject Customers’ enquiry of an amendment or a cancellation.
• In case “BUY IN NEPAL” accepts a cancellation, Customer is obliged to pay 30% of the value of the goods during the cancellation or reserves the right to charge Customer for all costs that “BUY IN NEPAL” has had in connection with the order including but not limited to costs of purchase materials, freight etc

1.3. Delivery

·         Delivery times are approximate and depend on prompt receipt of necessary order confirmation.

·         If delivery is delayed for more than 15 days, Customers must notify “BUY IN NEPAL” and allow 15 additional days for delivery.

·         If the Goods are not delivered within this period, Customer can cancel the order. This shall be the Customer’s only right in case of a delay in delivery.

·         In case of a delay in delivery or cancellation confer above section “BUY IN NEPAL” shall not be liable to Customer for any damages, direct or indirect losses.

·         If delivery is delayed due to any act or omission of Customer or Customer fails to take action or provide adequate shipping instructions after having been notified that the Goods are ready for dispatch, “BUY IN NEPAL” shall be entitled to place the Goods into a suitable storage at Customer’s expense. Upon placing the Goods into storage, delivery shall be deemed complete, and risk in the Goods shall pass to Customer and Customer shall pay “BUY IN NEPAL” accordingly.

1.4. Payment

·         Payments must be made prior to shipment unless agreed otherwise.

·         “BUY IN NEPAL” reserves the right to aquire pre-payment in part or whole before the initiation of an order.

·         In the event of late payment, “BUY IN NEPAL” reserves the right to demand interest on overdue payment of the amount owed, at the rate of 1.5 % per commenced month from the due date. “BUY IN NEPAL” reserves the right to add charges for issuing reminders.

1.5. Retention of Title

·         Goods remain property of “BUY IN NEPAL” until full payment is made.

·         While the retention of title of the Goods remains in effect, Customer is obliged to take properly care of the Goods including prescribed storage, maintenance, and full value insurance against fire, theft, and water damage.

·         Furthermore, Customer must not make any changes to hardware, pledge the Goods as security, rent out, lend out or otherwise dispose of the Goods without written consent of “BUY IN NEPAL” until title has passed to Customer.

1.6. Complaints

·         Immediately upon receipt of the Goods, Customer must make the necessary examination of the Goods regarding any discrepancies and visual deficiencies.

·         If Customer has a complaint a written description must be sent immediately to “BUY IN NEPAL”, no later than 3 days after delivery. If Customer fails to do so Customer forfeits the right to make a complaint hereof at a later time.

1.7. Limitation of Liability

1.7.1 Freedom of Liability (Force Majeure)

·         The following circumstances result in freedom of liability for “BUY IN NEPAL”, if they impede the fulfillment of the agreement or make the fulfillment unreasonably onerous: work disputes and any other circumstances, over which the parties have no control, such as fire, war, mobilization or call-up to the military to such a degree, requisitioning, confiscation, trade and currency restrictions, revolt and disturbances, lack of transport, general shortages, energy restrictions and lack of or delay in deliveries from sub-contractors which are a result of any of the circumstances named here.

1.7.2. Product Liability

·         For product liability the Nepal’s Law in force at any time shall be applicable. Unless it is stated in mandatory law, “BUY IN NEPAL” shall not be liable for consequential loss, loss of profit or any other indirect loss arising from product liability.

1.7.3 Limitation of liability

·         The warranties above are in lieu of all other warranties including, without limitation, the warranties of merchantability and fitness for a particular purpose.

·         “BUY IN NEPAL” liability under, for breach of, or arising out of this agreement shall be limited to the amount of the net purchase price of the Goods sold.

·          In no event shall “BUY IN NEPAL” be liable for the procurement of substitute goods or liable for any special, consequential, incidental, economic, direct, indirect, or other damages (including without limitation loss of profit) whether or not “BUY IN NEPAL” has been advised of the possibility of such loss, however, caused, whether for breach or repudiation of contract, breach of warranty, negligence, or otherwise. This exclusion also includes any liability which may arise out of any third-party claims against Customer.

1.8. Drawings, Descriptions and other IP rights

·         All drawings and/or technical descriptions, illustrations or the like, which are delivered to Customer for use in the installation or assembling of systems and other products, remain the property of “BUY IN NEPAL” and may not without preceding written permission be used, copied or shown to a third party, or in any other way brought to the attention of a third party, and must be returned to “BUY IN NEPAL” immediately after use. Furthermore, “BUY IN NEPAL” refers to the “BUY IN NEPAL” Design Guide.

·         All content on the website, including product descriptions, images, and branding, is the intellectual property of Bynepal.com.

·         Unauthorized reproduction, distribution, or use of website content is prohibited.

1.9. Software

·         If the Goods delivered include software, Customer will receive a Software License Agreement (SLA), which must be accepted before Customer installs the software. Customer may not in any way reverse engineer, decompile, modify, or disassemble the software.

1.10. Privacy Policy

·         We collect, use, and protect your personal information in accordance with our Privacy Policy.

1.11. Safety

·         Machines and other technical devices: Customer agrees to use the Goods in accordance with the operating manual/user guide.

1.12.Disputes

·         All disputes will be governed by Nepal’s laws and resolved under its jurisdiction.

1.13. Safeguard Clause

·         The legal invalidity of individual provisions of the General Terms & Conditions for Sales & Delivery or other contracts between “BUY IN NEPAL” and Customer does not affect the validity of the General Terms & Conditions for Sales & Delivery as a whole.
